Starting a company

You have two options to establish a business in Estonia – making it yourself or buying a ready-made company from us. The faster and a lot more convenient of these options is to buy it.

Buying a ready-made company

Our ready-made limited liability companies are specially made to be sold and are already registered in the commercial register. All such companies have the necessary 2500€ as the holding capital already paid, which allows you to make dividend payments immediately.

You can start business immediately with the company you buy from us. Leave all the paperwork to us. We will also help you set up the accounting in the company you acquired.

To buy a ready-made company from us we will sign a sales contract you and change the members of the board of directors in the Business Register. If you want, we can also change the company’s trade name and the legal address.

In order to register a company yourself, then:

First check if you have either an Estonian, Latvian, Belgian or Finnish ID-card. You can also use Estonian or Lithuanian mobile-ID.

  • With an ID-card you can registere the company through internet here
  • Without an ID-card you have to make an appointment at the notary. You can find a list of notaries in Estonia here

A little help for those who want to do everything themselves

Here are some of the things you have to consider when creating a company.

  • 1. Business permit

    Find out if the company you are creating needs a business permit or a licence to function. Some fields of activity have to notify the authorities before they can start doing business.

  • 2. Choosing the main field of activity for your company

    In order to register your company in the Business Register you have to choose the company’s main field of activity. For this you have to look up the code which corresponds to your company’s main activity from EMTAK’s 192 page document.

  • 3. Choosing a trade name

    When choosing your company’s trade name then please consider that the name can not be the same or confusingly similar to a previously registered business. You can check the availability of your trade name here.

  • 4. Registering your company

    Once you have chosen the trade name and the field of activity then it is time to register your company. If you have an ID card of a mobile-ID then you can register the company electronically in the E-business Register. Alternatively you have to submit an application to the registration department of the county courts and then have it notarized.

  • 5. Registering for VAT

    Are you planning an annual turnover exceeding 16 000€? When your company’s annual turnover exceeds 16 000€ then you have to register the company for a VAT number. If the turnover stays below 16 000€, then registering is voluntary.

  • 6. Registration of employment and in Health Insurance Fund

    Registration of employment is compulsory for every physical and legal entity that offers work. Under the law you have to register all the work data of your employees, such as when they started work, took a pause and when the work was terminated in the Tax and Customs Board work register. Data received from employers is used to insure or to stop the insurance of employees. The data is forwarded to the Health Insurance Fund by the Tax and Customs Board.

  • 7. Registering in the business register

    If your company’s field of activity needs special permission then you have to register your company’s data in the business register. In the register you have to register when you sell goods or services and business activities such as selling on street, in a store or at public events. You also have to register the sales, production and import of precious metals.

  • 8. Creating a statute for the Ltd

    This is a time consuming endeavor. The statute is one of the most important documents because it is the bases for all the other documents and daily management decisions. You have to register the statute when creating the company.

  • 9. Company’s legal address

    The legal address is necessary in order to have a postal address where to send letters to.   • 10. Setting up the accounting
